These Terms of Service (these “Terms”) describe the terms and conditions by which you may access and/or use the website(s), including www.joinrise.in and any successor URL(s), and any and all related software, documentation, and online, mobile-enabled, and/or digital services (collectively, the “Service”). By accessing and/or using the Service, or by clicking a button or checking a box marked “I Agree” (or something similar), you signify that you have read, understood, and agree to be bound by these Terms, and you acknowledge that you have read and understood our Privacy Notice, as located at our Privacy Notice.

PLEASE READ THESE TERMS CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION/JURY TRIAL WAIVER PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

1. How We Administer the Service

Rise provides a platform that connects enterprises with expert professionals, facilitates AI evaluation and benchmarking, and enables data monetization. We reserve the right to modify, suspend, or discontinue all or any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may, in our sole discretion, limit or restrict your access to the Service. We may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability. We reserve the right to change, modify, add, or remove portions of these Terms at any time. If we do, we will post the updated Terms on the Service and indicate the date of revision. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

2. Access to the Service; Service Restrictions

Subject to these Terms, we grant you a non-transferable, non-exclusive, revocable, limited license to use and access the Service solely for your own personal or internal business purposes.

You agree not to (and not to attempt to):

  • Access the Service by any means other than through the interface provided by Rise;
  • Use the Service for any illegal or unauthorized purpose, or engage in, encourage, or promote any activity that violates any applicable law or these Terms;
  • Use any robot, spider, crawler, scraper, or other automated means or process to access, collect data or other content from or otherwise interact with the Service for any purpose;
  • Circumvent, disable, or otherwise interfere with security-related features of the Service;
  • Use the Service in any manner that could disable, overburden, damage, or impair the Service;
  • Sell, license, or exploit for any commercial purposes any use of or access to the Service, except as expressly permitted by Rise;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of any part of the Service;
  • Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Rise or its affiliates, partners, suppliers, or licensors.

3. User Grants, Covenants, Representations and Warranties

By using the Service, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity and authority to enter into these Terms; (c) all information you provide to Rise is truthful, accurate, and complete; (d) your use of the Service does not violate any applicable law or regulation; and (e) you are not located in, or a citizen or resident of, any jurisdiction where use of the Service is prohibited by applicable law.

You grant Rise a non-exclusive, worldwide, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform any content you submit through the Service, solely in connection with operating and improving the Service. You represent that you own or have the necessary rights to grant this license.

4. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Rise, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

“Rise,” the Rise logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Rise or its affiliates or licensors. You must not use such marks without the prior written permission of Rise. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

5. Third-Party Services and Content

The Service may contain links to third-party websites and services, and/or display advertisements for third parties (collectively, “Third-Party Services & Ads”). Such Third-Party Services & Ads are not under the control of Rise, and Rise is not responsible for any Third-Party Services & Ads. Rise provides these Third-Party Services & Ads only as a convenience and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Services & Ads. You use all Third-Party Services & Ads at your own risk. When you link to a Third-Party Service, the applicable third party's terms and policies apply, including the third party's privacy and data gathering practices.

6. Fees and Payment

Certain features of the Service may require payment of fees. Before you pay any fees, you will have the opportunity to review and accept the fees that you will be charged. All fees are in the currency stated at the time of purchase and are non-refundable except as required by law or as explicitly stated in these Terms.

Rise reserves the right to determine pricing for the Service. Rise will make reasonable efforts to keep pricing information published on the Service up to date. Rise may change the fees for any feature of the Service, including additional fees or charges, upon notice. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the changed amount.

7. Privacy

Please refer to our Privacy Notice for information about how we collect, use, and share information about users of the Service. By using the Service, you consent to our collection, use, and sharing of your information as set forth in our Privacy Notice.

8. Security

Rise cares about the security of our users. While we work to protect the security of your content and account, Rise cannot guarantee that unauthorized third parties will not be able to defeat our security measures. You acknowledge that you provide your information at your own risk. We encourage you to use a unique and strong password, limit access to your account, and log out after using the Service.

9. DMCA Notice

If you believe that any content on the Service infringes upon your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing our designated copyright agent with the following information in writing: (a) a physical or electronic signature of a person authorized to act on behalf of the copyright owner; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing; (d) your contact information; (e) a statement that you have a good faith belief that use of the material is not authorized by the copyright owner; and (f) a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

10. No Warranties; Limitation of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

IN NO EVENT WILL RISE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT RISE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT WILL THE COLLECTIVE LIABILITY OF RISE AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE GREATER OF $100 OR THE AMOUNT YOU HAVE PAID TO RISE FOR THE APPLICABLE SERVICE IN THE LAST 12 MONTHS OUT OF WHICH LIABILITY AROSE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Rise and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to: (a) your use or misuse of the Service; (b) your breach of these Terms; and/or (c) any content you submit to the Service.

12. Miscellaneous

Governing Law. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Dispute Resolution. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with applicable arbitration rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. You agree that any arbitration shall be conducted on an individual basis and not in a class, consolidated, or representative action.

Entire Agreement. These Terms, together with the Privacy Notice and any other legal notices published by Rise on the Service, shall constitute the entire agreement between you and Rise concerning the Service.

Waiver and Severability. No waiver by Rise of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
